Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of CertDirect (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The service

CertDirect provides software that enables trucking insurance agencies to create, manage, and deliver ACORD-25 Certificates of Insurance, including from the agency's own email domain. The Service may also monitor connected email inboxes or SMS channels that you authorize, identify certificate requests, create draft follow-ups, and route items for review. Specific features and capabilities may change over time.

3. Accounts

You must provide accurate information when registering and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@certdirect.app if you suspect unauthorized access.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose
  • Issue certificates of insurance for policies that do not exist or that misrepresent coverage
  • Send unsolicited or unauthorized email through the Service
  • Connect an email inbox, SMS number, or messaging account that you do not own or have permission to monitor
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service

5. Subscriptions and billing

The Service is offered on a subscription basis. Subscription fees are billed in advance on a recurring basis (monthly unless otherwise specified). You may cancel at any time from your account settings or by contacting support@certdirect.app. Fees already paid are non-refundable except where required by law.

6. Customer data

You retain ownership of all data you submit to the Service (“Customer Data”). You grant CertDirect a limited license to process Customer Data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.

7. Connected accounts, email, and SMS

If you choose to send certificates from your own email domain, you authorize CertDirect to send email on your behalf using DNS records you configure. You are responsible for the accuracy of recipient information and for compliance with applicable anti-spam laws (including CAN-SPAM in the United States).

If you connect Gmail, Text Request, or another email or messaging provider, you authorize CertDirect to access and process messages from the connected account only as needed to provide the Service. You are responsible for ensuring that you have all rights, permissions, and notices required to monitor those inboxes or phone numbers and to send replies through them.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees. Upon termination, you may export your data for a reasonable period before it is deleted from active systems.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CertDirect IS A SOFTWARE TOOL AND DOES NOT PROVIDE LEGAL OR INSURANCE ADVICE. CERTIFICATES OF INSURANCE GENERATED THROUGH THE SERVICE DO NOT ALTER THE TERMS OF ANY UNDERLYING INSURANCE POLICY.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CertDirect SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
